Membership Agreement for Innate Success
This Member Agreement governs your use of Innate Success's 'Service' and any other electronic services or networks from Innate Success (each, a 'Service').
To proceed to the registration process you must agree to be bound by the 'Terms and Conditions' of this membership agreement. Click on the 'I agree' checkbox on the 'Get Started Now' page, if you choose to be bound by this agreement. If you disagree with this member agreement and do not want to be bound to all the terms and conditions of this agreement, you will not be allowed to proceed through the registration and become a member.
1. Changes to Member Agreement.
We may change the terms of this 'Member Agreement' at any time, and those changes will appear in this document. When it does, Innate Success will also revise the "last update" date at the top of the Terms and Conditions Policy located at the bottom of the Innate Success site. You signify that you agree to be bound by such changes by continuing enrollment after changes are made to this 'Agreement'. If any of these rules or future changes is unacceptable to you, you may cancel your membership by following the instructions in Section 11 'Cancellation Policy'.
2. Technical Support.
a. The tools, documentation, and support contained herein are provided by Innate Success "AS IS". The user agrees that Innate Success or it's Parent Company, Innate Products, LLC is not responsible, and shall have no liability to such user, with respect to any information, product or service offered by others who are linked to the Innate Success web site or hosted by CoMedia Corporation.
b. Innate Success shall not be liable for any damages allegedly sustained arising out of use of the information, products and services on the web site. Innate Success shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses, even if Innate Success has been notified of the possibility of such damages. Innate Success and/or Innate Products, LLC's only liability in the event of errors shall be the correction or removal of the erroneous information after verification.
c. We cannot monitor any member's approach to any upgrade processes, procedures implementation and hardware changes, we therefore cannot accept any responsibilities, will not be liable and accountable for loss of data, loss of internet connectivity, or any damage to the hardware devices due to improper hardware, software or firmware upgrades or modifications by the members. Support recommendations are for informational purposes only. The decision to implement these processes rests entirely on the member. Please seek professional advice, as appropriate.
d. By using any information on this site, you agree that Innate Products, LLC and/or Innate Success shall not be liable for any damages whatsoever arising out of such use. Some jurisdictions do not allow limitations of liability so some of these limitations may not apply; however, they apply to the greatest extent permitted by law.
3. Billing.
a. You agree to pay the membership fees and any other charges incurred in connection with your membership to Innate Success, at the rates in effect when the charges were incurred. Innate Success will bill all fees and charges automatically to your credit card. The fees and charges on your credit card statement will appear as Innate Products, LLC. Membership fees will be billed at the beginning of your membership and/or any renewal date. Innate Success may change the fees and charges in effect, or add new fees or charges, by giving you notice in advance. If you want to use a different credit card or there is a change in credit card validity or expiration date, you must update your information in the Member Area on the Innate Success web site. You are responsible for any fees or charges incurred to access programs or tools offered on this site through an Internet access provider or other third-party service.
4. Renewal.
All memberships will automatically renew unless we terminate your membership, or you terminate your membership by notifying us via email at support@innatesucces.org or by submitting a CANCELLATION REQUEST FORM found in this agreement. You must cancel your membership prior to your expiration date before it renews in order to avoid billing of membership fees for the renewal term to your credit card account. See section 11 for information on how to cancel your membership.
7. Limitations of Use.
a. Only you and your immediate family members or in-office staff may access this 'Service' using the same user name or password, unless we agree otherwise.
b. If you are authorized to access these self improvement and coaching programs, or tools through arrangements between your employer and us, some or all of these "Fees and Payments" terms may not apply to you. Please contact your employer for details.
c. We may change, suspend or discontinue any aspect of the 'Service' at any time, including the availability of any service, feature, database, or content. We may also impose limits on certain features and services or restrict your access to parts or all of a 'Service' without notice or liability.
d. It is your responsibility to keep all personal account information current to prevent any disruption in service. Please keep all billing information current: including address, contact telephone, credit card and expiration dates and email addresses.
e. You agree not to use these 'Services' for any unlawful purpose. We reserve the right to terminate or restrict your access to this 'Service' if in our opinion; your use of the 'Service' violates any laws, infringes upon another person's rights or violates the terms of this 'Agreement'.
f. Each Innate Success membership may be accessed with any given username and password from up to three computers, unless otherwise authorized.
g. You agree that you are eighteen (18) years or older.
8. Discussion Boards, Forums and Conference Rooms.
a. Innate Success may offer access to Discussion Boards, Forums or Conference Rooms, otherwise known as 'Forums'. You agree not to upload to, or distribute or otherwise publish on these Forums any libelous, defamatory, obscene, pornographic, abusive, or otherwise illegal material. You agree that you will not threaten or verbally abuse other members. You agree not to use language that abuses or discriminates on the basis of race, religion, nationality, gender, sexual preference, age, region, disability, etc. You agree not to use the Discussion Boards or Forum to advertise (other than what is stated to be allowed within the forum), solicit funds, or solicit goods and services (other than what is stated in the form).
b. You are solely responsible for the content of your messages. While Innate Success does not and cannot review every message posted by you on the Forums and is not responsible for the content of these messages: Innate Success reserves the right to delete, move, or edit messages that it, at its sole discretion, deems abusive, defamatory, obscene, in violation of copyright or trademark laws, or otherwise unacceptable. You acknowledge that any submissions you make to this Service may be edited, removed, modified, published, transmitted, and displayed by Innate Success and you waive any moral rights you may have in having the material altered or changed in a manner not agreeable to you.
c. You agree as a member of Innate Success, any material found in or on a Forum or anywhere else on this site to be determined by you to be as crude or discriminatory in nature, is not the liability or responsibility of Innate Success/Innate Products, LLC.
9. Third Party Web Sites, Services and Software.
a. We may link to, or promote web sites or services from other companies on a Service or offer you the ability to download software from other companies. You agree that we are not responsible for, and do not control, those web sites, services and software.
b. In some case, clicking on a link will link you directly or indirectly to another web site. We make every effort to ensure that links to other sites lead directly to content providers participating with Innate Success; however, Innate Success has no control over, or liability arising from information which may be web sites found on other web sites. Although information may be presented on these web sites, Innate Success has no control over the information found, and you use it at your own discretion.
10. Communication.
We reserve the right to send electronic mail to you for the purpose of informing you of changes and/or additions to the 'Service' and/or monthly newsletters. We reserve the right to disclose information about your usage and demographics, provided that it will not reveal your personal identity in connection with the disclosure of such information. We may contact you via e-mail regarding you participation in user surveys, asking for feedback on a 'Service' and existing or prospective products and services.
11. Cancellation Policy.
a. You may terminate or inactivate your membership at any time. To avoid billing on monthly memberships, you must submit your cancellation request prior to 11:00pm Pacific Standard Time of your next billing date. You must submit a cancellation request by emailing Innate Success at support@innatesuccess.org or by clicking here: CANCELLATION REQUEST FORM. Upon termination, you will receive a confirmation of your request, via e-mail, advising you the request was received, and your access will be suspended at the end of that current billing cycle. You are responsible for any and all charges or fees incurred up to the time your membership is terminated.
b. We may, at our sole discretion, terminate or suspend your access to all or part of this 'Service' for any reason, including, without limitation, breach or assignment of this Agreement.
c. Member fees are not refunded when termination is requested by the member unless stipulated under a specific guarantee offer, and you must follow the specified refund guidelines. Members are responsible for charges incurred until their monthly/annual expiration date.
d. Members must send an email request for a refund of their initial 90 day enrollment period, under the condition that a 90 Day Money Back Offer was extended to that member.
12. Annual Memberships.
a. Innate Success may offer the option of an 'annual' membership. No refunds will be issued on annual memberships, unless otherwise stated. To prevent billing on an annual membership, the service must be cancelled prior to the end of the prior billing period.
b. It is understood that your annual membership fee covers your first ten months of 'Service'. The last two months are offered to you for no fee as special incentive in pre-paying your 'annual' service.
13. DISCLAIMERS OF WARRANTIES AND LIMITATIONS ON LIABILITY.
YOU AGREE THAT YOUR ACCESS TO, AND USE OF, THE SERVICES AND THE CONTENT AVAILABLE THROUGH THE SERVICES IS ON AN "AS-IS", "AS AVAILABLE" BASIS AND WE SPECIFICALLY DISCLAIM ANY REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO ANY WARRANTIES OF ACCURACY, RELIABILITY, REPRESENTATION, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE BY ANY CUSTOMER, MEMBER, ASSOCIATE, VENDOR OR ANY OTHER ENTITY, OFFERING INFORMATION, PRODUCTS, AND SERVICES ON OR THROUGH THIS WEB SITE, LINKED TO INNATE PRODUCTS, LLC WEB SITE, OR HOSTING COMEDIA. OUR COMPANIES DO NOT WARRANT, GUARANTEE, OR MAKE ANY REPRESENTATIONS REGARDING THE USE, OR THE RESULTS OF THE USE, OF THE WEBSITES, PRODUCTS, SERVICES OR WRITTEN MATERIALS IN THE TERMS OF CORRECTNESS, ACCURACY, RELIABILITY, CURRENTNESS OR OTHERWISE. THIS AGREEMENT CONSITUTES THE WHOLE AGREEMENT BETWEEN YOU AND INNATE SUCCESS.
14. General.
This Agreement contains the final and entire agreement between you the buyer and us the seller, regarding your use of these Services and supersedes all previous and contemporaneous oral or written agreements regarding your use of these Services. We may discontinue or change the Services or their availability to you, at any time. This Agreement is personal to you, which means that you may not assign your rights or obligations under this Agreement to anyone. No third party is a beneficiary of this Agreement. By doing business with us, you agree that this Agreement, as well as any and all claims arising from this Agreement will be governed by and construed in accordance with the laws of the State of Texas, U.S.A., applicable to contracts made entirely within Texas and wholly performed in Texas, without regard to any conflict or choice of law principles. The sole jurisdiction and venue for any litigation arising out of this Agreement will be an appropriate federal or state court of Collin County, Texas, U.S.A. This Agreement will not be governed by the United Nations Convention on Contracts for the International Sale of Goods.
The terms constituting this offering are set forth in writing on this web site. You hereby agree to submit to the jurisdiction of the State and Federal courts located in Collin County, Texas, to resolve disputes or litigation hereunder. Whether or not you choose to print this offering containing terms and conditions as described herein.
15. Use of Content.
a. Where information on the website was obtained from external sources, you are solely responsible for compliance with any and all copyright and trademark restrictions.
b. Where you post or transmit communications to the website, you grant Innate Success a perpetual, irrevocable, worldwide, non-exclusive license to reproduce, modify, edit, translate or distribute the communication without payment of any royalty fee whatsoever. You further warrant that you are the owner of such content, or that the owner of the content expressly grants Innate Success a license in the form described herein.
16. Copyrights.
a. The content, (including, but not limited to, articles, documents, photographs, images, illustrations, audio clips and video clips, also known as "Content") available through this Service is our property, or the property of the party credited as the provider of the content, and is protected by copyright and other intellectual property laws. You may not modify, publish, transmit, reproduce, create new works from, distribute, perform, or in any way exploit, any of the Content or the Service (including software) in whole or in part.
b. Licenses. All Images, text, contents, products and scripts are licensed and never sold, unless otherwise stated. Reproduction is prohibited. You may not use, copy, emulate, clone, rent, lease, sell, modify, decompile, disassemble, otherwise reverse engineer, or transfer the licensed program or product, or any subset of the licensed program or product, except as provided for in this agreement or expressly in writing.
Any such unauthorized use shall result in immediate and automatic termination of this license and may result in criminal and/or civil prosecution.
17. Earnings and Income Disclaimer/Guarantee Offers.
We accurately represent the products and services offered under this 'Service' and try to increase their potential for improving your impact on the website. You should also know that any testimonials offered here illustrate certain user results and may not apply to all customers who use our services. You understand that any advertised 'Guarantee' allows for a refund of your first 90 days only, in the event you are not happy with the service.
We do not promise, guarantee or imply that you or that your use of our products and services are guaranteed to improve your practice or increase your revenues. As with any business, successful or unsuccessful use of our products will widely vary among our customers depending on many factors, including but not limited to, the customer's skill set, creativity, motivation, level of effort, individual expertise, capacity and talents and/or business experience.
We also understand that many of our customers may not implement our program or use our services consistently. Similarly, we provide no assurance that either improved operations or earnings can be increased or duplicated.
You should not view our company's products and services as responsible for any success or failure of your practice; we simply provide educational tools that you can use to make every effort to improve your practice. Your decision to purchase and use the information offered on the Innate Success website should be based on your own due diligence and judgment on how best to use our product and/or service, and not on any representation that we make to you. We will not be responsible for any success or failure of your practice after you implement the information you receive from the "Service'.
18. For any legal controversy, when the amount in controversy exceeds $10,000, the following shall be in force;
Arbitration- Any legal controversy or legal claim arising out of or relating to this Agreement or our goods and/or services, excluding legal action taken by Innate Success to collect our fees and/or recover damages for, or to obtain an injunction relating to, the Innate Success website operations and intellectual property, shall be settled by binding single-arbitrator arbitration in accordance with the Commercial Arbitration rules of the American Arbitration Association. Any such controversy or claim shall be arbitrated on an individual basis, and shall not be consolidated in any arbitration with any claim or controversy of any other party. The arbitration shall be conducted in Dallas, Texas, and judgment on the arbitration award may be entered into any court having jurisdiction thereof. Innate Success may seek any interim or preliminary relief from a court of competent jurisdiction in Dallas, Texas necessary to protect the rights or property of Innate Success, Innate Products, LLC, pending the completion of arbitration. Should either party file an action contrary to this provision, the other party may recover attorney's fees and costs up to $1000.00. Parties agree that the Federal Arbitration Act, the United Nations Convention for the Enforcement of Commercial Arbitration Awards, and all other applicable laws and conventions apply to this agreement.
19. Privacy Policy.
Innate Success has established this Privacy Policy to explain how it protects and manages the personal information that it collects from you (the customer) online.
(1a.) Consent for Collection, Use and Disclosure
Your use of the Innate Success site and/or your registration for Innate Success products and services constitute your consent to the terms of this Privacy Policy. If you do not agree to the terms of this Privacy Policy, please do not use the Innate Success site.
Innate Success may occasionally update its Privacy Policy. When it does, Innate Success will also revise the "last update" date at the top of the Privacy Policy located at the bottom of the Innate Success site. Any changes will also be made within this Terms and Conditions document. In addition, Innate Success will seek a customer's prior consent, by email, for any new uses or proposed disclosures of information collected from the customer prior to the change. Innate Success will notify customers by email of changes to this policy that will affect information collected from them in the future. In certain circumstances, however, Innate Success will not inform and obtain the consent of the customer, such as in connection with an investigation of a breach of an agreement, contravention of laws, an emergency where the life, health or security of an individual is threatened, the collection of a debt or in compliance with the request of a law enforcement agency or a court order.
A customer may withdraw his or her consent for collection, use and disclosure at any time by sending an email to support@innatesuccess.org. Please note that, if you do, Innate Success may suspend its provision of products and services to you. When you unsubscribe, if you fall within the guarantee period for any Innate Success product and you request a refund, the guarantee will be honoured.
(2a.) Accountability
Innate Success collects, at the time of your registration and your sign-on to its web site, certain "personal information" (information that personally identifies you) including but not limited to your name, email address, home or work address, telephone number, and information about your computer hardware and software (e.g., IP address, operating system, browser type, domain name, URL, access times, and referring web site addresses).
Innate Success has implemented this Privacy Policy to protect personal information received from its customers, and to respond to any inquiries. The Privacy Policy also provides that Innate Success will use appropriate contractual means to establish a comparable level of protection for personal information which is sent for processing by third parties on Innate Success's behalf.
(3a.) Purposes for Collecting Personal Information
Innate Success collects and uses personal information for the following Identified Purposes:
(I) to understand customer needs regarding Innate Success's services;
(II) to develop and provide our web site and our products and services for our customers;
(III) to fulfill your requests for products, services or information;
(IV) to communicate with customers and site visitors, when necessary, and to inform customers of upgrades, as well as of other products and services available from Innate Success, its affiliates and third parties;
(V) to allow customers to access limited-entry areas of Innate Success's site;
(VI) to personalize some of our services and products for you and to deliver targeted advertisements and offers from Innate Success and third parties;
(VII) to bill accounts and maintain payment records;
(VIII) to comply with any applicable law, regulation, legal process or government request;
(IV) to respond to a legitimate claim, or to address our reasonable belief, that you are violating the rights of any third party or any of the agreements or policies that govern your use of the Innate Success site or any Innate Success product or service;
(V) to protect the services, products or rights of Innate Success, including but not limited to the security or integrity of the Innate Success site; and
(VI) to identify and resolve technical problems concerning Innate Success's site, products and services.
Innate Success also uses personal information in an aggregate form (i.e., not individually attributable to you) for its business analysis, operational, marketing and other promotional purposes.
If we hire other companies to provide some products or services on our behalf, then we will only provide those companies the personal information they need for the Identified Purposes, and we will limit their rights to use and further disclose your personal information as appropriate in the course of their work for us.
(4a.) Limiting the Collection of Personal Information
Innate Success limits its collection of personal information to only that information which is necessary for the Identified Purposes. Innate Success does not direct its site to, nor does it knowingly collect any personal information from anyone under the age of eighteen.
When you visit the Innate Success web site, a cookie may be placed on your computer or the cookie may be read if you have visited the Innate Success site previously. Innate Success uses cookies to allow Innate Success to determine which products and services you have already purchased so that Innate Success does not provide redundant information to you, and, if you are an Innate Success affiliate, to track Innate Success sales made to customers referred by you so that you can receive compensation under our affiliate program. If you choose to not have your browser accept cookies from the Innate Success web site, you may not be able to view all the text on the screens, or to experience a personalised visit, or to subscribe to certain service and product offerings on the Innate Success site.
(5a.) Disclosure, Processing and Retention
Innate Success does not sell, rent or disclose your personal information to anyone else, except:
- (I) to someone you have designated to act as your agent, for one or more of the Identified Purposes (listed in Section 2, above);
(II) to Innate Success employees, independent contractors, subsidiaries, affiliates, consultants, business associates, service providers, suppliers and agents, when acting on Innate Success's behalf for any of the Identified Purposes;
(III) as necessary if Innate Success has reason to believe that disclosure is necessary to identify, contact or bring legal action against someone who may be causing injury to or interference (either intentionally or unintentionally) with Innate Success's rights or property, other users of Innate Success's web
(IV) to respond to judicial process and provide information to law enforcement agencies or in connection with an investigation on matters related to public safety, as permitted by law, or otherwise as required by law.
In addition, as we continue to develop our business, we or our affiliates may sell or buy other businesses or entities, or we may merge with another company. In such transactions, personal information may be one of the transferred business assets. Also, in the event that Innate Success or substantially all of its assets are acquired, your personal information may be one of the transferred assets.
Your information may be stored and processed in the United States, or in any other country in which Innate Success or its affiliates, subsidiaries or agents maintain facilities. By using this web site, you consent to any such transfer of information outside of your country.
After your account becomes inactive (that is, if you request to be removed from our database), Innate Success will keep your personal information in its archives. Your information will then be used only as necessary for tax reasons or to prove Innate Success's compliance with any applicable law.
(6a.) Accuracy of Personal Information
Innate Success will use reasonable efforts to keep customer personal information accurate for the Identified Purposes and for minimizing the possibility of making inappropriate customer decisions based on such information. Customers are responsible for informing Innate Success about changes to their personal information. You can do this by calling 888-281-0841 or emailing Innate Success at support@innatesuccess.org. Innate Success will use new or updated personal information it receives from customers to update its own records.
(7a.) Security Safeguards
Innate Success will use reasonable efforts to protect customers' personal information.
(8a.) Access to Personal Information
Innate Success will afford you a reasonable opportunity to review the personal information in your file, if you so request by calling 888-281-0841, writing to:

If Innate Success is not able to provide access to some aspect of a customer's personal information, it will provide reasons for denying access such as; that by doing so would likely reveal personal information about a third party, or that it is confidential commercial information or attorneyclient privileged communications, or that the information relates to a breach of an agreement or a contravention of law, or that its disclosure could reasonably be expected to threaten the life or security of another individual.
Customers have the right to request that inaccurate or incomplete information be amended as appropriate, by contacting Innate Success or the Privacy Officer as described above. Innate Success will promptly correct such personal information.
